Convert the winning trial into an enforceable operating scope. Our recommended comparison checklist is:

  • Outcome definition: exact permitted tasks, prohibited actions and evidence of completion.
  • Implementation acceptance: the same integration and failure tests used in procurement.
  • Commercial schedule: all meters, minimums, support, capacity, transfers and change charges.
  • Human coverage: staffed destinations, authority, hours and failure procedures.
  • Incident ownership: who leads recovery across the agent, carrier and business-system dependencies.
  • Change control: notification, regression testing, approval and rollback for material changes.
  • Data terms: recordings, transcripts, tool logs, subprocessors, retention, training use and deletion.
  • Evidence access: exports that let the buyer reconcile calls to operational records.
  • Portability: number control, credentials, configuration, schemas, test assets and transition help.
  • Performance remedies: agreed response to unacceptable quality, including suspension or termination rights.

For healthcare, align service-level and data terms with the applicable BAA rather than allowing conflicting agreements. HHS specifically discusses availability, recovery, data return and use/retention limitations as relevant cloud-service contracting matters. (hhs.gov)
